General Terms and Conditions for Standalone Transports

E-FARM as of 1st of March, 2026

I. Scope of Application

  1. These Terms and Conditions apply exclusively to entrepreneurs within the meaning of Sec. 14 German Civil Code (BGB).
  2. The German Freight Forwarders’ Standard Terms and Conditions 2017 (ADSp 2017) apply in addition. In case of conflict, these Terms and Conditions prevail.

II. Role as Freight Forwarder

  1. E‑FARM provides forwarding services pursuant to Secs. 453 et seq. HGB and arranges transports through commissioned carriers.
  2. Transport is not performed using E‑FARM’s own vehicles.
  3. E‑FARM’s obligation consists in selecting and commissioning a suitable carrier based on the customer’s specifications.

III. Process and Conclusion of Contract

  1. The customer submits all essential transport data via the online form.
  2. E‑FARM provides a transport price based on this information.
  3. The customer may then complete additional details and “book” the transport.
  4. The customer receives a pro forma invoice after booking.
  5. The quoted price constitutes a binding offer subject to the suspensive condition that a suitable carrier can be commissioned within 5 business days after receipt of payment at a total cost of no more than 120 % of the quoted price.
  6. A carrier is suitable if it can reliably execute the transport based on the customer’s specifications and fulfils all legal and contractual requirements.
  7. A transport contract is concluded only upon written order confirmation (email).
  8. If the condition is not met, no contract is concluded.

IV. Payment and Start of Carrier Search

  1. The search for a carrier begins only after full payment of the pro forma invoice has been received.
  2. Receipt of payment triggers the period defined in Section III.5.
  3. Any bank fees are borne by the customer.

V. Cooperation Obligations and Accuracy of Information

The customer must provide all information completely, accurately and on time and must ensure that all requirements for proper execution of the transport are met.

VI. Transport Insurance

  1. E-FARM procures ‘goods in transit’ insurance for the customer in respect of all machinery for which E-FARM arranges transport, but has not sold directly, based on arrangements made by E-FARM at the customer’s request.
  2. The insurance costs (premium) are explicitly mentioned in the offer made to the customer.
  3. The insured amount is the net purchase price of the transported machinery.
  4. The damage deductible on each occasion of damage shall be 1% of the insured amount, in any case at least EUR 500 per any such occasion.
  5. The insurance cover shall only extend to damages to the Goods occurred during transportation thereof. Unless explicitly stated otherwise, the applicable regulations shall be the German General Marine Insurance Rules (MIR/ADS) in the 1984 version (here in the coverage form ‘Full Coverage’ according to Clause 1.2) and additionally the DTV Cargo Insurance Terms of the German Insurance Association (‘Gesamtverband der Deutschen Versicherungswirtschaft’) in the 2011 version. The risks excluded according to Clauses 1.1.2.1, 1.1.2.2 and 1.1.2.4 of ADS 1984 are included in the insurance on the basis of the relevant DTV clauses.
  6. Explicitly excluded from the insurance are damages to paintwork, scratches and impact damages to the Goods.
  7. A Goods in Transit insurance does not cover any further damage claims. In particular any damage claims are excluded in case of late delivery.
  8. The insurance does not cover any damage attributable to accident, premeditation or gross negligence on the part of the buyer.
